Besides the cost to subscribe to a SaaS service or length of a contract one of the most important legal issues that needs to be negotiated for any company using a SaaS service is what are the liabilities for the SaaS vendor? Liability comes in many forms. For example, what if the SaaS service is hacked or the subject of a cyber attack and the customer’s sensitive confidential data including credit card numbers is stolen. Is the SaaS provider going to indemnify and hold the customer harmless for all the damages it suffered as a result of the data breach? What if the SaaS services goes down for an extended period of time causing the SaaS provider’s customer to suffer economic damages?
Another important legal issue to consider is whether or not the SaaS services provider is going to guarantee that the SaaS service is going to be up and running and functioning for a guaranteed minimum amount of time. This is called a Service Level Agreement and the SaaS provider guarantees that the Service will be up an running 365 days a year 99.5% of the time. Some SaaS providers will guarantee service a minimum of 99.9% of the time.
Another legal contract consideration is maintenance and support. As a SaaS customer you want to make sure that the SaaS vendor is going to fix any bugs or defects in a timely manner and that the SaaS company will stand behind its service by having customer support via telephone during normal working business hours.
