Drafting SaaS and Software Licenses Requires High Level Knowledge About the Technology

There is not a day that goes by when I don’t receive a call from a prospective client asking why it costs so much money to draft what they perceive to be a cookie cutter, template software licensing agreement, software application development agreement or mobile app contract. There is the misconception out there that one size fits all or why can’t attorneys just simply take my information and put it where it belongs in some sort of templated agreement on the attorney’s computer. It doesn’t work that way for several reasons. For starters, I have never had two clients that have had the same legal needs, the same exact deal terms or developed or licensed a technology in the same way. Moreover, no two clients have ever developed the same exact technology or software, so every agreement I draft is different. While I might take certain language provisions from certain agreements and use them for another I don’t have a template for each type of technology and simply insert the answers to ten questions from the client into it.
