Liability comes in many forms. For example, what if the SaaS service is hacked or the subject of a cyber attack and the customer’s sensitive confidential data including credit card numbers is stolen. Is the SaaS provider going to indemnify and hold the customer harmless for all the damages it suffered as a result of the data breach? What if the SaaS services goes down for an extended period of time causing the SaaS provider’s customer to suffer economic damages?
Another important legal issue to consider is whether or not the SaaS services provider is going to guarantee that the SaaS service is going to be up and running and functioning for a guaranteed minimum amount of time. This is called a Service Level Agreement and the SaaS provider guarantees that the Service will be up an running 365 days a year 99.5% of the time. Some SaaS providers will guarantee service a minimum of 99.9% of the time.
