- Independent Contractor Agreements
These types of contracts are typically entered into between a small business and vendor or person that the business needs the services of but does not necessarily want to employ in the traditional sense of the word. Typically, an independent contractor is responsible to pay his or her taxes resulting from work done pursuant to the agreement. It is critical that any business that hires an independent contractor have an attorney draft a contract so the business is protected in the event the contractor fails to perform his or her duties or commits an act of negligence.

Any business that has a product to sell or offer to the public that is unique in nature such as new technology or something that not many companies can offer, should think about selling those products pursuant to a licensing agreement. This type of agreement will protect the company from another entity stealing their idea, technology, patents or trade secrets.
- Confidentiality Agreements
Any time employment involves working in highly competitive field or with a product that has a patent or the company needs to protect its trade secrets, you can expect the employer to require you to sign a confidentiality agreement. Typically, these agreements are one or two pages and seek to prohibit you from divulging or revealing any confidential information you might learn while employed which could include, information about customers or clients, patents, trade secrets or things that give your employer a competitive advantage. In most instances, if you sign such an agreement, you will likely be barred from working for a competitor or taking a similar type job for at least one year.
