As a New Jersey startup attorney, it is a privilege for Andrew S. Bosin to work with innovative, new companies and help them navigate startup law. Andrew particularly enjoys it because of the energy and the enthusiasm founders bring to the table.
DOES MY STARTUP NEED A LAWYER?
As a business lawyer who has decades of experience counseling entrepreneurs, Andrew is here to help you. He is here to make sure you are prepared and protected – to help you deal with the real day-to-day challenges startups face. What Andrew brings to the table is a unique skill set not found in many other startup lawyers. You see what makes Andrew different than most other lawyers is the fact that he is also an entrepreneur having started a SaaS company with partners a few years ago. Andrew’s company was recently awarded a patent by the United States Patent Office.
There is not a week that goes by that Andrew does not take a call from a potential client who failed to hire a lawyer right from the start to help them start and form their company the right way. Below are some areas we focus on during an initial consultation with a startup.
FORMATION OF YOUR COMPANY
In order to avoid putting your personal assets at risk, you must select the right entity type. For the new entrepreneur this seemingly simple task can seem deceptively tricky. Businesses come in many different forms and it is critical that a company’s founders choose the entity type that best protects them from over taxation and personal liabilities.
With that said, even if the right entity has been chosen and a company has been properly formed a company will not benefit from the protections of being a company unless it also operates as a company. One of the first and easiest steps you, as the founder of your company, can take to protect yourself is opening a company bank account. Also, you will need an operating/shareholder agreement, the required organizational documents filed with a secretary of state’s office and an FEIN from the IRS in order to do so.
CONTRACT NEGOTIATIONS
More so than not, Andrew speaks to clients or potential clients every week who enter into and negotiate very complex contracts and agreements by themselves with no assistance from a lawyer whatsoever. Entering into a poorly drafted long term contract with language that is not favorable to you will cost you more in the long run.
STARTUP PARTNERSHIP AND INVESTOR RELATIONS
Andrew also fields plenty of calls from entrepreneurs who have not yet built or developed their technology product but they are already talking about selling it for big bucks. The quickest way to turn off investors is by failing to properly define partnerships and investor and founders’ roles early on which will help you avoid future issues with equity owners and investors alike. Creating your own investor documents, or simply downloading them from a DIY site without receiving legal advice from experts in corporate formations, puts you and your company at serious risk of failing.
